milehiiv Reconstruction : Service Terms
ADOPTED AS THE LOCAL REHEARSAL TERMS SOURCE ONLY : NOT APPROVED OR EFFECTIVE FOR A PUBLIC SERVICE
Draft version: 2026-10-22-owner-2
Rehearsal implementation note: The owner adopted this document as the source for new simulated orders on October 21, 2026. The rehearsal preserves the accepted preview, Terms, screen, file versions and receipt; no real payment, verified-contact delivery or public service is activated. Earlier accepted packages retain their original bytes and terms. On October 22 the owner selected https://milehiiv.com and support@milehiiv.com. The owner supplied the seller and postal address below and selected support@milehiiv.com forwarding to ops@reclaimware.com. The alias configuration is verified separately by panel readback; no test email has been sent and monitoring remains unverified. The Privacy Notice version is 2026-10-22-1. The effective date remains to be set on the ratification date; these Terms are not ratified for public use. The service and operational clauses below describe the proposed public agreement; they do not certify a staffed public inbox, vendor, retention program, licensing status or professional clearance. The one-year cutoff was deliberately replaced with §16's lawful alternative. Public use remains blocked until the unresolved facts and separate release decisions are completed.

PLEASE READ BEFORE AGREEING. THIS IS A RECORDS-ORGANIZATION SERVICE. IT DOES NOT DETERMINE YOUR TAX RIGHTS. SALES ARE FINAL AFTER YOUR FREE PREVIEW, SUBJECT TO SECTION 6 AND RIGHTS THE LAW DOES NOT ALLOW YOU TO WAIVE. SECTIONS 12–16 INCLUDE AS IS TREATMENT, DAMAGE LIMITS, A LIMITED CUSTOMER INDEMNITY, INDIVIDUAL BINDING ARBITRATION WITH A TEXAS LEGAL SEAT AND JURY/CLASS WAIVERS FOR DISPUTES VALIDLY SUBJECT TO ARBITRATION.
1. Who contracts; acceptance; eligible customers
The seller identified above is your contracting party. The service is offered only to individuals age 18 or older residing in an admitted United States jurisdiction. The seller must identify eligible jurisdictions before accepting your engagement. An accessible website is not an offer to serve every jurisdiction. This draft does not authorize service outside the United States.
You must own the submitted records or have lawful authority to submit them. The paid historical engagement concerns one driver's records. Do not submit someone else's case as your own or claim credentials or authority you do not have.
You accept these Terms through an affirmative action expressly identifying them, such as checking an initially unchecked acceptance box and submitting the associated request. A link in a footer, visiting a page, silence, or receiving a receipt alone is not acceptance. At purchase, the displayed Terms version and the exact free preview and order summary you affirmatively accept identify your agreement. You may download or print these documents before purchasing. If you do not agree, do not purchase; declining creates no payment obligation.
Processing permission is presented separately from purchase acceptance. Receiving the Privacy Notice is not permission for unrelated uses of your records. Additional consent required by applicable law must be requested separately in a compliant form.
2. The limited service
Our service organizes, normalizes and reconciles the records you provide, and delivers the resulting files described in your accepted preview/order. We promise the bounded records-reconciliation and delivery described there. We do not promise to find additional miles, restore unavailable records, establish a deductible expense, increase a deduction, save tax, obtain a refund or produce a result accepted by any third party.
The proposed historical service covers usable Uber and Lyft records for supported years from 2019 through 2025, only to the extent specifically included in your accepted preview. It is one engagement for one driver's identified consolidated submission. The preview identifies included and missing years, apps, source files, output types and limitations. Choosing a year or app does not establish that usable records exist.
We may identify source totals, duplicates, inconsistencies, exclusions and disclosed mathematical estimates derived from supplied records. An estimate is not a measured trip or proof that driving occurred. We do not fabricate trips, dates, destinations, business purposes or source documents. Annual totals remain annual totals. Unresolved overlapping mileage is excluded from combined calculations as described in your preview. We do not promise that additional files can resolve that overlap.
The work does not include new tax years, unlimited submissions, future record monitoring, permanent hosting, return preparation or filing, audit representation, an audit-defense service, a CPA opinion, a legal opinion, or individualized tax eligibility, filing-deadline or refund advice. Newly supplied records require a separate written agreement unless necessary to correct our own processing or delivery failure. No extra fee or new order is imposed without your express agreement.
3. The free preview and accepted order
Before a paid choice, we prepare the supported reconciliation and review, and make a saveable numerical preview available without requiring a card or deposit. You may decline, keep the free preview and retrieve your submitted originals during the disclosed free-access period. You owe nothing for declining. There is no subscription, debt for free work, automatic collection or required referral.
The preview describes the work and numerical reconciliation, source-reported versus estimated figures, annual-only results, exclusions and material gaps. The separate full spreadsheet and method-notes file may be paid deliverables; the preview need not reproduce every row. We do not represent that viewing the preview means you inspected every paid file or accepted an undisclosed defect.
Your order summary must identify the preview's unique ID/version, the included source set and scope, exact deliverables and formats, all material limitations, one-time fee, applicable sales tax, total and currency, price-expiry time, delivery deadline, retrieval period and these Terms' version. These documents are the “Accepted Order.” No payment is due until you affirmatively authorize that order after the preview is available.
A material change to numbers, included/excluded work, deliverables, price, deadlines or Terms requires a new identified preview/order and fresh purchase assent before a new charge. We cannot replace the accepted version simply by changing a web page. A correction after purchase must be identified as a new output version and must not conceal the earlier record.
4. Arithmetic and source limitations; no tax-result promise
Source labels describe provenance. “Listed in your records” or a technical “verified” label means the supplied source reported that figure; it does not establish its accuracy, business purpose, tax deductibility, legal sufficiency or IRS certification. We do not independently certify the platform's records or their completeness.
Any miles-times-rate or “deduction worksheet” amount is arithmetic using identified records, disclosed estimates/exclusions and published rates. It is not a determination of an allowable deduction, an additional deduction beyond amounts already claimed, a refund, tax saved, cash recovered or a recommended return entry. Unsupported dates, unknown rates and annual-only records that cannot support a split-year calculation are identified and left without an unsupported calculation.
Your own qualified adviser must evaluate business use, commuting, previously claimed expenses, duplicate mileage, choice and eligibility of expense method, vehicle history, substantiation, filing/payment dates and applicable law. Annual totals or reconstructed estimates may be inadequate for a particular purpose. If you require dated support that the preview says is unavailable, do not buy on the expectation that we will create it.
A founder example, synthetic sample or another person's figures do not predict your outcome. We are not affiliated with or endorsed by the IRS, Uber, Lyft or another platform merely because their records or names appear in the service.
5. Price, authorization and when the paid contract forms
You authorize only the one-time total and currency in your Accepted Order. We use the payment method/provider identified at checkout. There is no recurring charge, percentage-of-deduction fee, later saved-card charge, interest or installment plan under these Terms. Applicable tax must be shown before authorization; it is not added through a later automatic debit.
A price hold, if offered, expires at the exact time in the order summary and is not a sale. Joining the upload queue or a wave list does not itself reserve a paid price or guarantee availability. An expired or materially changed order requires a new price/preview confirmation. We must not knowingly accept payment for a route that cannot deliver within the agreed schedule and retrieval period.
The paid contract forms when your express acceptance of the identified order and payment authorization are successfully submitted and accepted through the designated purchase process. The accepted Terms version governs. Files may be withheld pending provider-confirmed payment, but we may not treat a payment actually taken as nonexistent because our confirmation failed. We will investigate a captured-but-unfulfilled order under §6. A redirect or screenshot alone does not establish settlement.
We provide a saveable receipt identifying the legal seller, order, accepted preview/Terms versions, fee/tax/total/currency, payment status/reference, delivery/access details and support route. It confirms the agreed transaction and adds no new restriction. A second capture, incorrect amount or capture without a valid fulfilled order is not a new purchase merely because a provider recorded it.
6. FINAL SALE; LIMITED FEE-RETURN EXCEPTIONS
All sales are final after you review the free preview, except our material delivery failure, a charge error, or a remedy required by law. No satisfaction guarantee or tax-result guarantee applies.
Material delivery failure means that, for reasons attributable to us, the purchased packet is not made available by the agreed delivery deadline through the agreed private route, is persistently inaccessible or corrupt, contains another customer's records, or materially fails to perform or match the records reconciliation and deliverables in the Accepted Order. Our material processing error is included. A seller-caused failure is not excused merely because it also appeared in the preview and could not reasonably be recognized from it.
A disclosed source gap, disclosed estimate, correctly disclosed annual-only output, your changed mind, lack of additional tax savings, or a third party's decision not to accept an otherwise conforming reconciliation is not by itself our material delivery failure. That does not excuse misrepresentation, concealment or our failure to deliver the agreed service.
Notify us through the support email with your order ID and a description of the problem; do not email full tax records or identification documents unless a verified secure procedure calls for them. We may make one reasonable attempt to correct a remediable failure at no charge, ordinarily within ten business days after we receive the information reasonably needed to identify it. We cannot restart that period indefinitely, require unnecessary sensitive data, or insist on a cure opportunity where law does not allow it or the failure is not reasonably curable. Any longer cure arrangement requires your express agreement and does not extinguish existing rights.
If we cannot or do not cure the material failure within that period, or a cure is inappropriate or legally unavailable, we will return the full affected order fee and associated seller-collected tax required to be returned. We bear our processing costs and do not substitute a store credit without your agreement. We will initiate an owed return within five business days after determining it is due; a bank's posting time may be longer. A requested or failed return is not a completed return.
Charge error means an unauthorized seller charge, duplicate charge, amount above the agreed total, incorrect currency or other seller billing error. We return the erroneous amount, including improperly collected associated tax, to the original method where available. A duplicate return does not cancel a distinct valid purchase. If the original route cannot accept a return, we arrange a lawful verified alternative without requiring an additional purchase or fee.
Prompt notice helps investigation, but neither the courtesy support period nor browser expiry is a forfeiture of these exceptions or a mandatory legal remedy. Section 16 addresses claim periods. You need not abandon a good-faith issuer dispute, complaint, review or legal right to receive a return already owed. No clause requires you to misstate a dispute as resolved before funds are actually returned. We avoid duplicate recoveries through lawful reconciliation, not by making you surrender rights in advance.
7. Delivery schedule and retrieval
Your Accepted Order states an actual delivery deadline, time zone and private delivery route. Complete Uber and Lyft submissions enter a first-come-first-served upload queue. Our target for the free preview is 24 to 48 hours after receipt of the files; it is a target, not a guaranteed result or immediate service. When paid intake is paused, new requests and uploads close and a wave list may collect contact without promising a price, date or result. Existing queued work continues. Only an explicit operator action opens intake again. Other-platform free looks remain separate, with no turnaround or result promise.
Delivery means making the exact purchased file versions available to your verified access method in usable form, with the agreed notice or access instructions. A payment event alone is not delivery. A response served to a browser is evidence of transmission, not conclusive proof you saved or accepted the file. An optional “I saved my files” acknowledgement does not waive undisclosed defects or mandatory rights.
For a new paid order under these Terms, the retrieval opportunity lasts at least 30 days after the purchased packet is first made available through the agreed verified route. The receipt states the exact expiry. A seller-caused outage or access failure that prevents a reasonable retrieval opportunity must be remedied through restored access for a reasonable period or §6. The quoted retrieval deadline is at least 30 days after the quoted packet-availability deadline. Waiting before delivery does not shorten this period.
For new free/nonbuyer queue requests, preview and original-file access lasts 30 days after the checked preview is first made available. Time before that delivery does not consume access. We show the exact expiry once the preview is available; there is no automatic expiry while it waits in the queue. Earlier accepted orders keep their frozen terms and dates. Other-platform access keeps its separate disclosed clock. Privacy retention and legal request rights are separate from browser access.
Keep downloaded copies and your originals. We do not provide perpetual redownload, tax-record storage or future restoration after the disclosed period. A support route remains available for billing and delivery complaints after ordinary browser access ends, subject to appropriate verification.
8. Corrections, records and acknowledgement
One courtesy correction round for a nonmaterial processing or formatting issue is included if requested within 14 days after delivery. It does not include new records or new scope unless we agree. Material delivery failures, charge errors, our outstanding obligations and nonwaivable legal rights are not restricted to one round or cut off after 14 days.
We preserve the identified preview/order, acceptance and transaction record and the exact delivered versions under the Privacy Notice's completed retention schedule and applicable legal holds. We distinguish delivery attempts, completed transmissions and voluntary saved-file acknowledgements. We do not treat our records as conclusive against contrary evidence. Corrections receive separate version identifiers and do not silently replace the accepted order or earlier output.
9. Your files and permitted use
You retain your rights in your submitted records. You grant us only the authority reasonably necessary to process them for your requested service, securely deliver the results, support the engagement and keep limited lawful transaction/dispute records, subject to the Privacy Notice and any additional legally required consent. This is not a transfer of ownership or permission to exploit your data.
You may keep, use, copy and share the purchased reconciliation for your own records and with your chosen tax preparer, lawyer, regulator, payment provider or other adviser as reasonably needed. No continuing fee is due for that personal use. Our reusable software, generic templates and methods remain ours; this does not restrict your factual records or your right to give evidence or an honest review. Do not misrepresent an altered output as our original work or resell access to our service without agreement.
10. Customer responsibilities and prohibited conduct
Provide records honestly and disclose known duplicates or inconsistencies relevant to the requested reconciliation. Do not fabricate inputs, intentionally conceal an app to evade overlap exclusions, upload malicious files, access another customer's case or use the service to make false claims.
Do not upload platform passwords, Social Security numbers, full payment-card credentials, government-ID images or unrelated tax returns. Follow the stated secure intake instructions. Remove unnecessary third-party information from the copy you submit where appropriate without falsifying the record; preserve your own unaltered originals. We may refuse unnecessary sensitive material or request a safer service copy. You do not warrant that a platform's own records are perfect merely by uploading them.
You are responsible for decisions made on your tax returns and for obtaining needed advice. This does not shift responsibility for our own processing errors, misleading claims or legally imposed duties. We do not file, sign, transmit or negotiate your tax position for you under this agreement. Support staff cannot expand that scope through informal messages.
11. Privacy, service data and security
The Privacy Notice identified when you submit records describes actual data categories, purposes, service providers/recipient categories, operator access, processing locations, cookies/logs, identity recovery, retention periods and anchors, backup expiry, request procedures and legally required rights. An incomplete notice or unresolved retention/provider schedule is not sufficient to operate this service.
We process records for the requested reconciliation, private result, optional paid delivery and support. We may retain proportionate contract, payment, security and dispute evidence for the disclosed periods or a valid legal obligation/hold. Access is restricted to the purpose. Browser expiry and moving a file to app Trash are not promises of permanent deletion. Backup copies expire under the disclosed schedule; deletion requests and completed erasure are different events.
Under this offering, we do not sell your uploaded records or use them for advertising, unrelated analytics, AI/model training, development/test datasets, public examples or testimonials. Only synthetic records are used for those test/development purposes. Service contact does not enroll you in marketing. Any future optional secondary use requires a separately approved lawful program and any separately required consent; it is not authorized by these Terms.
We use service providers only within the disclosed service purposes and legal requirements. Required tax-information permissions, sensitive-data consents and other special approvals cannot be supplied by general acceptance of these Terms. Legally required disclosures and notices are handled under applicable law; we do not promise absolute secrecy or immunity from lawful process. Nothing here waives a regulator's authority or a right you cannot lawfully waive.
We use reasonable administrative, technical and physical protections appropriate to the records and applicable obligations. No system can promise perfect security, but this statement does not excuse failure to use required safeguards. Keep access links, cookies and recovery information private. We may verify a requester before revealing, relinking or deleting records and must not demand unnecessary information. Privacy and billing/delivery requests can use the monitored contact above after browser expiry. Applicable mandatory response and breach-notification duties control.
12. CONSPICUOUS AS IS AND WARRANTY DISCLAIMER
EXCEPT FOR OUR EXPRESS OBLIGATION TO PERFORM AND DELIVER THE LIMITED RECORDS RECONCILIATION IN THE ACCEPTED ORDER AND THE REMEDIES IN THESE TERMS, THE SERVICE, FREE PREVIEW, SOURCE-DERIVED FIGURES AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE EXTENT APPLICABLE LAW PERMITS, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT, AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR TRADE USAGE.
WE DO NOT WARRANT SOURCE COMPLETENESS, ANY TAX OR LEGAL ELIGIBILITY, AN ALLOWABLE DEDUCTION, TAX SAVINGS, REFUND, AUDIT OUTCOME, THIRD-PARTY ACCEPTANCE OR PERMANENT HOSTING. THIS DISCLAIMER DOES NOT CANCEL OUR EXPRESS RECONCILIATION/DELIVERY PROMISE, AUTHORIZE FALSE OR MISLEADING CLAIMS, EXCUSE FRAUD OR CONCEALMENT, OR DISCLAIM A WARRANTY OR DUTY THE LAW DOES NOT ALLOW US TO DISCLAIM.
13. LIMITATION OF DAMAGES AND LIABILITY
TO THE EXTENT LAWFUL, WE AND OUR PERSONNEL WILL NOT BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR INDIRECT LOSS OF PROFITS, BUSINESS OPPORTUNITY OR DATA, ARISING FROM THE SERVICE, EVEN IF ADVISED SUCH LOSS WAS POSSIBLE. NO EXPECTED TAX REFUND OR SAVING IS PART OF OUR PROMISED PERFORMANCE. CHARACTERIZING A LOSS HERE DOES NOT MAKE IT INDIRECT IF APPLICABLE LAW TREATS IT AS DIRECT.
SUBJECT TO THE EXCEPTIONS BELOW, OUR TOTAL AGGREGATE LIABILITY FOR AN ORDINARY CLAIM ARISING FROM A PAID ENGAGEMENT WILL NOT EXCEED THE TOTAL SERVICE FEE YOU PAID FOR THAT ENGAGEMENT. FOR CLAIMS ARISING SOLELY FROM A FREE ENGAGEMENT WITH NO PAID ORDER, THE PROPOSED AGGREGATE LIMIT IS $100. THESE LIMITS APPLY ACROSS LEGAL THEORIES TO THE EXTENT LAWFUL. THEY LIMIT PERMITTED RECOVERY; THEY DO NOT RELEASE ALL LIABILITY FOR NEGLIGENCE OR ELIMINATE OUR EXPRESS DELIVERY DUTY.
THE EXCLUSIONS AND CAPS DO NOT APPLY TO OUR FRAUD, WILLFUL MISCONDUCT OR GROSS NEGLIGENCE; A LIABILITY, STATUTORY DAMAGE, FEE AWARD, PRIVACY/SECURITY REMEDY OR OTHER RIGHT THAT CANNOT LAWFULLY BE LIMITED; OR THE AMOUNTS WE MUST RETURN UNDER SECTION 6, INCLUDING RELATED TAX. THEY DO NOT RESTRICT A REGULATOR'S POWERS. THEY ARE NOT A WAIVER OF NONWAIVABLE CONSUMER-PROTECTION RIGHTS. IF A PARTICULAR LIMIT CANNOT LAWFULLY APPLY, APPLICABLE LAW GOVERNS THAT CLAIM.
14. LIMITED CUSTOMER INDEMNITY FOR SPECIFIED THIRD-PARTY CLAIMS
TO THE EXTENT PERMITTED BY LAW, YOU WILL INDEMNIFY THE SELLER FOR REASONABLE, ACTUALLY INCURRED THIRD-PARTY DAMAGES AND DEFENSE COSTS, INCLUDING REASONABLE ATTORNEY FEES, ONLY TO THE EXTENT CAUSED BY YOUR KNOWING SUBMISSION OF RECORDS YOU HAVE NO LAWFUL AUTHORITY TO PROVIDE, INTENTIONAL FALSIFICATION OF INPUTS, KNOWING UNLAWFUL DISCLOSURE OF ANOTHER PERSON'S DATA, OR FRAUDULENT ALTERATION AND MISREPRESENTATION OF OUR OUTPUT.
THIS DOES NOT COVER OUR OR OUR PROVIDERS' NEGLIGENCE, MISCONDUCT, UNLAWFUL PROCESSING, MISREPRESENTATIONS OR BREACH; YOUR OWN GOOD-FAITH CLAIM AGAINST US; REGULATORY ENFORCEMENT; OR YOUR PROTECTED REVIEW, PAYMENT DISPUTE, PRIVACY REQUEST OR COMPLAINT. IT IS NOT AN AUTOMATIC DEFENSE BILL OR PENALTY FOR EXERCISING RIGHTS.
We must promptly notify you of the claim and reasonably cooperate. Delay reduces this obligation to the extent it actually prejudices your defense. You may participate with counsel of your choice. Defense arrangements must be reasonable; no settlement may admit your fault, impose a nonmonetary duty or obligate you to pay without your reasonable written consent. Any allocation for mixed fault must reflect the loss actually caused by the specified customer conduct. Disputed indemnity is subject to §15, not unilateral assessment by us.
15. MUTUAL INDIVIDUAL ARBITRATION; TEXAS SEAT; JURY AND CLASS WAIVERS
Except for the exclusions below, you and the seller agree that disputes arising from this engagement, the free preview, purchase, representations, records handling or these Terms will be resolved by binding individual arbitration rather than a court or jury. This obligation is mutual. FOR DISPUTES VALIDLY SUBJECT TO THIS AGREEMENT, BOTH SIDES GIVE UP A COURT/JURY TRIAL AND PARTICIPATION IN A CLASS, COLLECTIVE OR REPRESENTATIVE ARBITRATION TO THE EXTENT THAT WAIVER IS LAWFUL.
Applicable arbitration law. The Federal Arbitration Act governs this provision to the extent the transaction is legally within its scope. Texas law supplies ordinary contract principles subject to applicable federal and nonwaivable law. This clause does not declare facts establishing federal coverage or override the Texas Arbitration Act's scope restrictions. If applicable law does not permit enforcement of arbitration for a claim, that claim may proceed in a court with jurisdiction.
Administrator and protections. Arbitration will be administered by the American Arbitration Association (“AAA”) before one independent arbitrator under its applicable Consumer Arbitration Rules and Due Process Protocol, available at AAA consumer rules. We will provide a copy on request. If AAA classifies an engagement as business-purpose rather than consumer, we must obtain its agreement to administer under an applicable framework preserving at least the cost, hearing-access and substantive protections promised here. If AAA will not administer under those protections, the customer may proceed in court; we cannot unilaterally replace the administrator or impose less protective rules.
Costs and remedies. We pay the administrator's and arbitrator's fees, including any consumer filing amount that would otherwise be required, subject to a lawful allocation based on an arbitrator's specific finding of frivolous or bad-faith conduct under applicable law. Neither side must reimburse the other's attorney fees merely for losing. Statutory fee-shifting rights and all substantive remedies that must remain available are preserved. Each side otherwise pays its own chosen lawyer. The arbitrator provides a reasoned written award and can grant lawful individual relief, including relief necessary under a nonwaivable statute. Neither party may use fees or procedure to make the agreed remedy inaccessible.
Texas seat and accessible hearings. The legal seat is Travis County, Texas, to the extent lawful. Hearings may occur by video, telephone or documents as appropriate under the rules. You are not required to travel to Texas to pursue a low-dollar claim. If an in-person hearing is required, AAA or the arbitrator determines a reasonably convenient location considering both parties and mandatory law. A required different location or mandatory home-state protection does not by itself defeat arbitration of an otherwise arbitrable claim.
Court and statutory exceptions. Either party may pursue an individual claim within an appropriate small-claims court's jurisdiction. Regulators, government agencies and payment issuers are not bound. You may report concerns or use issuer/network dispute procedures. Claims and forms of relief that applicable law does not permit to be forced into arbitration or individually waived remain available in the proper forum, including nonwaivable public injunctive relief where applicable. A party may seek genuinely necessary temporary court relief to preserve the status quo pending arbitration, without a broader unilateral litigation exception for the seller.
Who decides. A court with jurisdiction decides whether an arbitration agreement was formed, its enforceability and scope, and the enforceability of the jury/class waiver and applicable exclusions. The arbitrator decides the merits of a dispute validly referred to arbitration. Incorporation of AAA rules is not intended to override this allocation.
No obstruction or default escape. Informal resolution through support is encouraged, not an added condition that cuts off claims, issuer rights or filing deadlines. Mandatory statutory notices still apply. Neither party may impose extra batching, bellwether, mediation or waiting requirements to delay an otherwise proper claim. If we fail to pay required fees or comply with administrator requirements and the case cannot proceed because of that failure, you may proceed in court. No replacement administrator may be imposed without mutual post-dispute agreement.
Individual proceedings and severability. No class arbitration is authorized. If a court finally determines that a class/representative waiver cannot be enforced for a particular claim or relief, that claim or relief proceeds in court to the extent necessary, and other validly arbitrable individual claims remain subject to this clause if lawful. No independent jury waiver or standalone class-action waiver is imposed on a claim that must proceed in court under these exceptions. No mandatory secrecy condition restricts honest reviews, adviser consultations, evidence, complaints or regulatory cooperation.
Judicial proceedings and survival. Courts with proper jurisdiction may enforce a lawful agreement or review/enforce an award as permitted by law. Subject to small-claims rights and mandatory venue/consumer protections, the parties consent to state courts in Travis County, Texas, or the corresponding federal court when federal jurisdiction exists. This provision supplies no otherwise missing jurisdiction. This agreement to arbitrate survives completion/termination for covered disputes, but is never retroactively imposed on an earlier engagement without fresh assent.
16. CLAIM PERIODS : NO ONE-YEAR FORFEITURE
For an ordinary breach-of-contract claim only, and only to the extent applicable law permits a contractual shortening, the time to commence the claim in court or arbitration is two years and one day after that claim accrues. This does not begin before legal accrual, override required discovery rules, tolling or extensions, or shorten a longer period that cannot lawfully be shortened. Where this provision is invalid or inapplicable, the period supplied by applicable law controls.
Other claims, including statutory consumer-protection, privacy and fraud claims, retain the periods applicable to them under law. No one-year contractual cutoff applies. Nothing changes a payment issuer's independent deadlines or a regulator's authority. The courtesy correction period and file-access expiry do not shorten legal claim periods or extinguish a material delivery-failure/charge-error remedy. No contractual notice deadline shorter than the law permits is a condition to suit; statutory notices, when applicable, retain their own rules.
17. Entire agreement; limited non-reliance; changes
The Accepted Order and its identified preview/scope/limitations, these Terms in the accepted version, and the Privacy Notice commitments applicable to your submitted records constitute the agreement for this engagement. The order controls its specific source set, deliverables, fee and dates. It cannot remove nonwaivable rights, the stated final-sale exceptions or agreed privacy protections. Material inconsistencies must be corrected and presented before assent, not resolved by undisclosed seller discretion.
To the extent lawful, you make the purchase based on that identified agreement and your own evaluation of the disclosed records reconciliation, rather than a promise of tax treatment, results achieved by someone else, or an unincorporated sales opinion about what you should claim. No employee or referrer may expand the service into tax preparation, representation or guaranteed outcomes through informal statements. Ask for an alleged additional commitment to be accurately incorporated before paying.
This limited non-reliance provision does not state that no advertising was seen, waive fraud or fraudulent inducement, erase a false material statement or concealment, excuse an express delivery promise, or surrender nonwaivable consumer rights. An entire-agreement clause is not immunity from misleading advertising. We cannot change an existing Accepted Order, the arbitration obligation or previously agreed privacy protections merely by posting a new version. A material change requires fresh affirmative agreement. Future engagements may use a new identified version.
18. Mandatory rights; complaints; termination; remaining provisions
Nothing in these Terms prevents an honest review, consultation with an adviser, complaint to a regulator, legally protected disclosure, privacy request or good-faith payment dispute. We do not claim ownership of reviews, impose review/chargeback penalties, or condition an owed return on silence. A regulator is not bound by this private agreement. Any legally mandatory cancellation or notice right applies regardless of the final-sale policy.
We may refuse unsafe, unlawful, unauthorized or out-of-scope submissions and may suspend compromised access while reasonably verifying the rightful customer. We may not use suspension or termination to retain payment without delivering a conforming order or applying §6, destroy evidence under a valid hold, retaliate for protected activity, or terminate rights already earned. Free cases create no payment debt. Necessary lawful confidentiality, limited records retention, dispute procedures and accrued obligations survive to the extent applicable.
Texas law governs to the extent legally permitted, without depriving you of mandatory protections applicable to your transaction. If an ordinary provision is unenforceable, it is severed only to the extent permitted; a court is not asked to invent a harsher substitute. Section 15 supplies its own arbitration severability rules. Failure to enforce a term once is not a waiver of future enforcement. You may not transfer someone else's records or an engagement without lawful authority and our agreement; any seller assignment must not reduce accrued obligations or privacy protections. No assignment creates customer consent to a new data purpose.
For service, billing, delivery and legal notices use the monitored contact in §1. Include the order ID and a concise description; access expiry does not close that contact route. Legally required notice methods and deadlines take priority over ordinary electronic communication. A valid identity check may precede disclosure of private records, but cannot be used to obstruct an ordinary complaint. We will provide the accepted documents through the agreed saveable electronic method; where applicable law requires an additional electronic-record consent or another notice form, that requirement must be met separately.
